Welcome to AYS QUEST! These Terms and Conditions govern the services we provide. By engaging with our services, you agree to comply with these terms. Please read them carefully before proceeding with our services.


1. Services Provided

AYS QUEST specializes in Amazon Seller Account Management and e-commerce solutions. Our services include, but are not limited to:

  • Amazon & Marketplace Account Management: Complete management of your Amazon and other marketplace accounts, including setup, optimization, and ongoing account health management.
  • Product Listing & Optimization: Creation and optimization of product listings, including title, bullet points, descriptions, and keyword research to maximize visibility.
  • PPC Campaign Management: Amazon PPC (Pay-Per-Click) management, keyword bidding, and advertising strategy optimization for enhanced product visibility and sales.
  • Inventory Management: Monitoring stock levels, managing FBA (Fulfilled by Amazon) or FBM (Fulfilled by Merchant) stock, and ensuring timely stock replenishment.
  • Customer Service Management: Handling customer inquiries, returns, and feedback in accordance with Amazon’s policies.
  • Additional Services: As mutually agreed upon in the service agreement or project scope.

Specific deliverables will be outlined in the service agreement between AYS QUEST and the client.


2. Payment Terms

  • Payment Structure: Payment terms, including upfront fees, milestones, or monthly billing, will be specified in the service agreement or invoice.
  • Late Payments: Payments not received within the agreed-upon time frame may result in delayed services or suspension of work.
  • Non-Refundable: Once services have commenced, payments are non-refundable, except in cases of proven negligence or breach of contract by AYS QUEST.
  • Currency and Payment Methods: All payments will be processed in the currency agreed upon in the service agreement. Accepted payment methods include [list of payment methods].

3. Confidentiality

  • Both parties agree to maintain confidentiality regarding any proprietary or sensitive information exchanged during the course of the agreement.
  • Client Data Protection: AYS QUEST commits to protecting client data and will not disclose any client information to third parties without explicit consent, except as required by law.

4. Client Responsibilities

To ensure successful collaboration, the client agrees to:

  • Provide accurate, complete, and up-to-date information about products, account status, and any necessary access to third-party platforms.
  • Respond promptly to requests for approval, clarification, or additional information.
  • Comply with the relevant policies and terms of service of Amazon, eBay, or other marketplaces.
  • Ensure their account is in good standing with Amazon or other marketplaces and that all fees are paid on time.

Failure to comply with these responsibilities may result in delayed timelines or disruptions to service.


5. Service Limitations

  • No Guarantee of Results: While AYS QUEST strives to deliver the best outcomes, we cannot guarantee specific sales figures, rankings, or profits, as these are subject to a variety of uncontrollable market factors, including competition, algorithm changes, and consumer behavior.
  • Marketplace Policy Changes: We are not liable for changes in policies or terms by Amazon, eBay, or other marketplaces that may affect account status, listings, or service deliverables.

6. Intellectual Property

  • All content created by AYS QUEST in relation to the services, including images, text, and designs, will remain the property of AYS QUEST unless otherwise stated.
  • Client-Owned Content: Any content provided by the client (such as product images, descriptions, or trademarks) remains the property of the client.
  • Licensing: The client grants AYS QUEST a non-exclusive, non-transferable license to use client content solely for the purpose of delivering the services outlined in this agreement.

7. Dispute Resolution

  • In the event of a dispute, both parties agree to attempt to resolve the issue through negotiation in good faith.
  • If a resolution cannot be reached, the dispute will be subject to binding arbitration in accordance with the laws of [jurisdiction], and the decision of the arbitrator will be final.

8. Termination of Agreement

  • Termination by Client: The client may terminate the agreement with a written notice of 14 days.
  • Termination by AYS QUEST: We reserve the right to terminate the agreement if the client fails to meet their obligations or if the client’s account is suspended or banned by a marketplace.
  • Payment Upon Termination: Any outstanding payments will be due immediately upon termination of the agreement. Work completed up to the termination date will be billed accordingly.

9. Limitation of Liability

  • No Liability for External Factors: AYS QUEST will not be liable for any losses, damages, or disruptions caused by factors beyond our control, such as marketplace changes, account suspensions, changes in policies, or algorithm updates.
  • Maximum Liability: In no event will AYS QUEST be liable for more than the total amount paid by the client for the services rendered under this agreement.

10. Amendments

  • These Terms and Conditions may be updated periodically to reflect changes in services or policies. Clients will be notified of any significant changes and must accept the updated terms before continued service.

11. Feedback and Suggestions

  • If you provide us with feedback or suggestions regarding our services or content, you agree that we may use them at our discretion, without obligation or compensation to you. By submitting feedback, you acknowledge that AYS QUEST may collect and use aggregated or anonymized data about your use of our services for the purpose of research, development, enhancement, and marketing of our services.
  • Any rights not expressly granted in these Terms are reserved by AYS QUEST.
